Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and RenewNudge℠ ("RenewNudge", "we", "us", or "our") governing your access to and use of the RenewNudge website, applications, and APIs (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

You must be at least 13 years old (or the minimum age in your jurisdiction) and able to form a binding contract. You are responsible for the activity that occurs under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use.

You agree not to:

• Violate any law or third-party right.
• Upload or transmit malware, spam, or unlawful content.
• Reverse engineer, scrape, or attempt to bypass security or rate limits.
• Use the Service to send unsolicited bulk email or to harass any person.
• Resell, sublicense, or white-label the Service without our written consent.

You retain all rights to the data, text, files, and other content you submit to the Service ("Customer Content"). You grant RenewNudge a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display Customer Content solely to operate and improve the Service for you. You are responsible for Customer Content and for ensuring you have the rights to submit it.

The Service may interoperate with third-party services (for example, Google Workspace). Your use of those services is governed by their own terms, and we are not responsible for them.

Paid plans, if any, are billed in advance on a recurring basis. Fees are non-refundable except as required by law. We may change pricing with reasonable advance notice; changes take effect at the next renewal.

The Service, including all software, design, text, and trademarks, is owned by RenewNudge or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if continued access poses a risk to the Service or other users. On termination, your right to use the Service ends. Sections that by their nature should survive will survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENEWNUDGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US$100.

You will defend, indemnify, and hold harmless RenewNudge from any claims, damages, and expenses arising from your Customer Content, your use of the Service, or your violation of these Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance.
